To support, maintain and manage the legal, paralegal, company secretarial and corporate business affairs of the company.

Responsibilities

Reporting to the MEA Legal Counsel, your duties will be to maintain, support and manage the company legal and regulatory compliance, paralegal, corporate and secretarial affairs of the company and its many entities across the Middle East and Africa, including but not limited to:
  • Acting as the Legal Team primary point of contact in relation to corporate legal processes
  • Coordinating corporate processes such as incorporation of new legal entities, liquidation of legal entities or post acquisition integration of legal entities
  • Coordinating and providing focused Legal Research in relation to corporate policies, precedents and other processes and methodologies aimed at improving the efficient functioning of the MEA legal entities
  • Advising the business on the optimal corporate strategy based on legal advice, procedural constraints and costs effectiveness
  • Assist the Legal & Commercial Team in the Due Diligence process
  • Drafting general commercial documents and assisting with the completion of pre-qualification forms for commercial tenders;
  • Preparing company documents, such as Powers of Attorney, Board Resolutions and by-laws for the establishment of new entities
  • Managing contractual arrangements with customers and suppliers;
  • Designing, Building and Implementing procedural/administrative systems in relation to corporate legal processes
  • Drafting documents for the appointment and resignation of directors and amending authorized signatories on bank accounts
  • Ensuring that the corporate documents and regulatory filings of all entities and branch offices in MEA are kept up to date
  • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders
  • Liaising with external regulators and advisers, such as lawyers and auditors
  • Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements
  • Where applicable, maintaining statutory books, including registers of members, directors and secretaries;
  • Ensuring the company’s corporate documents database and contracts database is kept up to date;
  • Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders
  • Organization of files and the general work process to maximize the efficiency and productivity of the legal team;
  • Assisting the legal team, and business leaders with the administration of the company’s representative and distributor agreements throughout the Middle East & Africa;
  • Any other duties considered necessary for the execution of the function, as instructed by the MEA Legal Counsel, from time to time.
Requirements
  • University Law degree with one year of experience.
  • Exposure to, or experience gained in the field of corporate law or company secretarial experience obtained from a reputable (preferably international) law firm or in-house experience form a reputable multinational company
  • A proven track record of excellence in administration and organization.
  • Excellent oral presentation and negotiation skills
  • GCC experience (preferred but not essential)
  • A practical, energetic person with the ability to work autonomously when required and to take additional responsibilities as they arise
  • Ability to work with difficult customers under time pressures.
  • Willingness to travel as the job requires from time to time, sometimes at short notice.
  • Ability to liaise with people of various ethnic, cultural and hierarchical backgrounds.
